Warpaint London completes recommended £13.9 million all-cash acquisition of Brand Architekts via a Scheme of Arrangement

Brand Architekts is an LSE AIM-listed British challenger-brand business operating in the beauty sector. It offers a portfolio of challenger beauty brands, sold throughout the UK and internationally. Their company mission is to provide problem-solving solutions for everyday beauty. Their portfolio is separated into three categories: Invest, Nurture and Harvest.
The Company’s brands are available on the high street in leading pharmacy and drugstore chains; in national grocery stores; on the platforms of global e-tailers; and through their own e-commerce websites.
Warpaint London supplies high quality cosmetics at affordable prices under the lead brand names W7 and Technic.
On 5th December the boards of Warpaint London plc and Brand Architekts Group plc announced that they had reached agreement on a recommended cash offer to be made by Warpaint for the ordinary share capital of Brand Architekts.
Brand Architekts agreed to a £13.9 million all-cash deal with Warpaint paying 48 pence per Brand Architekts share. The last day of dealings of Brand Architekts shares is expected to be 11th February.
Warpaint raised £14 million by way of share placing to fund the acquisition, along with £1 million via a retail offer of new shares to help with general working capital purposes.
